REI is a consumer cooperative made up of members. Membership is nontransferable and active-member status determines voting eligibility.
Each active member has one vote on each matter submitted to members. The board directs and oversees the business and corporate powers.
Members may receive patronage dividends when declared by the board, generally linked to eligible purchases under the governing documents.
